Welcome to CarFlow, a mobile application and service provided by Comet Inc ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of the CarFlow mobile application, website, and related services. By downloading, accessing, or using our app, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading the app, or using any CarFlow service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Eligibility

To use the CarFlow app and services, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Provide accurate and complete registration information
Maintain the security of your account credentials
Comply with all applicable laws and regulations

3. Account Registration and Security

3.1 Account Creation

To access certain features of the CarFlow app, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your information to keep it accurate and current
Keep your password confidential and secure
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time if:

You violate these Terms and Conditions
You provide false or misleading information
Your account is used for fraudulent or illegal activities
We determine that continued use poses a risk to us or other users

4. Use of the App

4.1 Permitted Use

You may use the CarFlow app to:

Browse and search for available vehicles
Submit applications for vehicle financing or leasing
Manage your vehicle agreements and make payments
Communicate with CarFlow support
Access your account information and transaction history

4.2 Prohibited Conduct

You agree NOT to:

Use the app for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the app's functionality or servers
Use automated systems (bots, scrapers) to access the app
Reverse engineer, decompile, or disassemble the app
Upload viruses, malware, or any harmful code
Impersonate another person or entity
Collect or harvest personal information from other users

5. Services Provided Through the App

5.1 Platform Service

CarFlow is a technology platform that connects users with licensed vehicle dealers in California. Comet Inc operates the CarFlow app and does not directly sell, lease, or finance vehicles. We work exclusively with licensed dealers who handle all vehicle transactions, agreements, and related services.

The CarFlow app serves as a platform to:

Connect you with licensed vehicle dealers in California
Facilitate your applications to licensed dealers for vehicle financing and lease-to-own opportunities
Enable communication between you and our partner dealers
Manage payments and account information on behalf of dealers
Provide customer support and communications

5.2 Dealer Relationships

All vehicle sales, leases, financing, and related transactions are conducted by licensed dealers in California. CarFlow is not a party to any vehicle agreement between you and a dealer. Your vehicle agreement, including all terms, conditions, warranties, and legal obligations, is between you and the licensed dealer.

            Important Disclosure: CarFlow (Comet Inc) is a technology platform provider only. We connect you to licensed vehicle dealers in California who are responsible for all vehicle transactions. The actual vehicle agreements, financing terms, and lease-to-own contracts are separate legal agreements between you and the licensed dealer. These app Terms govern only your use of the CarFlow application and digital services, not your vehicle agreement with the dealer.
        

6. Payments and Financial Transactions

6.1 In-App Payments

When you make payments through the CarFlow app, you agree to:

Provide valid payment information
Authorize us to charge the specified payment method
Pay all applicable fees and charges
Maintain sufficient funds or credit for scheduled payments

6.2 Third-Party Payment Processors

We use third-party payment processors to handle financial transactions. Your payment information is subject to the privacy policies and terms of these payment processors in addition to our own Privacy Policy.

7. SMS/Text Messaging

By providing your phone number and opting in, you consent to receive text messages from CarFlow, including:

Account notifications and alerts
Payment reminders and confirmations
Service updates and important information
Marketing and promotional messages (you may opt out)

Opt-Out: Reply STOP to any message to unsubscribe. Reply HELP for assistance. Message and data rates may apply. Message frequency varies.

8. Intellectual Property Rights

All content, features, and functionality of the CarFlow app, including but not limited to:

Software code and architecture
Text, graphics, logos, and images
Trademarks and branding
Design and user interface

are owned by Comet Inc and are protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the app for personal, non-commercial purposes only.

9. User Content

You may submit information, documents, or other content through the app ("User Content"). By submitting User Content, you grant us a license to use, store, and process such content as necessary to provide our services. You represent that:

You own or have the right to submit the User Content
The User Content does not violate any third-party rights
The User Content is accurate and not misleading

10. Disclaimers and Limitation of Liability

10.1 App Availability

The CarFlow app is provided "as is" and "as available." We do not guarantee that the app will be uninterrupted, error-free, or free from viruses or other harmful components.

10.2 Limitation of Liability

To the fullest extent permitted by law, Comet Inc shall not be liable for:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Damages resulting from app downtime or technical issues
Unauthorized access to or alteration of your transmissions or data
Statements or conduct of any third party using the app

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Comet Inc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the CarFlow app
Your violation of these Terms
Your violation of any third-party rights
Your User Content

12. Updates and Modifications

12.1 App Updates

We may update or modify the CarFlow app from time to time to improve functionality, add features, or fix bugs. You are responsible for maintaining a compatible device and operating system.

12.2 Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website or app. We will notify you of material changes via email, SMS, or in-app notification. Your continued use after changes are posted constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the app shall be resolved in the courts of Delaware.

13.1 Arbitration

For any dispute not resolved informally, you agree to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

14. Third-Party Services and Links

The CarFlow app may contain links to third-party websites or integrate with third-party services (such as payment processors, mapping services, etc.). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

15. Privacy

Your use of the CarFlow app is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review our Privacy Policy to understand our practices.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Comet Inc regarding your use of the CarFlow app and supersede all prior agreements and understandings.
